You agree to defend, indemnify, and hold harmless VetResourceNetwork, its parents, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and service partners from and against any and all claims, liabilities, damages, losses, costs, expenses, and reasonable attorneys’ fees arising out of or related to: Your use or misuse of the Site or Services; Any personal information or data you provide through our forms; Your violation of these Terms, our Privacy Policy, or applicable federal, state, or local laws; Your interactions or transactions with any third-party partners or providers referred through the Site.

11. Dispute Resolution, Mandatory Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT MATERIALLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND HAVE A JURY TRIAL.

A. Informal Dispute Resolution
Before initiating any formal legal or arbitration proceeding, you and VetResourceNetwork agree to attempt to resolve any dispute, claim, or controversy informally. You agree to send a written notice containing your name, contact information, the facts of your claim, and your desired resolution to [[email protected]]. Both parties will attempt in good faith to resolve the dispute for thirty (30) calendar days from receipt of the notice.

B. Binding Arbitration
If the dispute cannot be resolved informally within thirty (30) days, any and all disputes, claims, or controversies arising out of or relating to these Terms, the Privacy Policy, the Site, or the Services shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) pursuant to its Consumer Arbitration Rules, except as modified herein. The Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of this arbitration agreement.

• Arbitrator Authority: The arbitrator shall have exclusive authority to resolve all issues relating to the scope, enforceability, interpretation, and arbitrability of this agreement, including any claim that all or any part of these Terms are void or voidable.
• Hearing Location: Any in-person hearing will take place in the county of your primary residence, or another mutually agreed-upon location, unless the parties agree to proceed via telephone, video conference, or written submissions.
• Costs: Payment of filing, administration, and arbitrator fees will be governed by the AAA Consumer Rules.

C. Class Action and Jury Trial Waiver
YOU AND VETRESOURCENETWORK EXPLICITLY AGREE THAT ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MULTIPLE PERSONS OR PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. YOU AND VETRESOURCENETWORK VOLUNTARILY WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO A JURY TRIAL.

D. Exceptions
Notwithstanding the foregoing, either party retains the right to: Seek individual resolution of a qualifying claim in small claims court having proper jurisdiction; Seek emergency temporary injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent ongoing misuse of the Site.

12. Governing Law and Jurisdiction

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Rhode Island, without giving effect to any principles of conflicts of law. To the extent any dispute proceeds in court rather than arbitration under Section 11, you consent to the personal and exclusive jurisdiction of the state and federal courts located within Providence County, Rhode Island.

13. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, that specific provision shall be severed or modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect. No failure or delay by VetResourceNetwork in exercising any right or remedy under these Terms shall operate as a waiver of that or any other right.
